Terms of Service and Privacy Policy

This document constitutes a legally binding agreement between you and Aerhub, Inc. regarding your access to and use of the Aerhub’s platform and related services, including Aerway and Aerpod. Please read these Terms of Service and Privacy Policy carefully before using the platform.

Introduction and Acceptance

Aerhub is a professional social media platform designed exclusively for aviation experts, professionals, and enthusiasts. By accessing or using Aerhub’s website, mobile application, marketplace, or any related services (“Platform”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and Privacy Policy. Your continued use of the Platform signifies your acceptance of all terms, conditions, and policies set forth herein. If you do not agree to these terms, you must not access or use the Platform.

Access to and use of the Platform is conditioned upon your compliance with these Terms and all applicable laws and regulations. You represent that you are at least 13 years of age, and if under 18, you may only use the Platform under the supervision of a parent or legal guardian. The Platform is intended for individuals with a legitimate interest in aviation; by using the Platform, you affirm such interest.

Definitions and Interpretations

For the purposes of these Terms of Service and Privacy Policy, the following definitions apply. Capitalized terms shall have the meanings set forth below, whether used in singular or plural form:

  • Aerhub, Inc. (“Company,” “We,” “Us,” or “Our”): The Delaware corporation operating the Platform, with principal business location in Phoenix, Arizona, USA.

  • Platform: Collectively refers to the Aerhub website (www.aerhub.com), Aerway mobile application, Aerpod podcast, Aerhub marketplace, and any related waitlist, promotional sites, or community features operated by Aerhub, Inc..

  • User (“You”): Any individual or legal entity accessing or using the Platform, including aviation professionals, organizations, and other authorized participants.

  • Account: A unique registration created by a User to access restricted features of the Platform.

  • Content: Any information, data, text, images, audio, video, credentials, certifications, marketplace listings, comments, or other material uploaded, posted, transmitted, or otherwise made available by Users or the Platform.

  • Services: All functionalities, features, and offerings provided by Aerhub, including networking, content sharing, marketplace transactions, professional verification, and related activities.

  • Personal Data: Any information relating to an identified or identifiable individual, including but not limited to name, contact details, professional credentials, profile information, and usage data.

  • Affiliate: Any entity that controls, is controlled by, or is under common control with Aerhub, Inc., where “control” means ownership of 50% or more of voting securities or equivalent authority.

  • Device: Any computer, mobile phone, tablet, or other equipment used to access the Platform.

  • Third-party Service: Any service, content, or product provided by an entity other than Aerhub, Inc., which may be integrated with or accessible through the Platform.

  • Aviation Credentials: Any professional license, certification, rating, or other qualification relevant to aviation, as provided or claimed by Users.

  • Applicable Law: All laws, regulations, and rules governing the use of the Platform, including those specific to aviation, data protection, and online conduct.

Interpretation of these Terms shall be consistent with their plain meaning and the context in which they are used. Headings are for convenience only and do not affect interpretation. Where required, the English version of these Terms shall prevail.

User Obligations and Conduct

Users of the Platform are required to adhere to the highest standards of professional and lawful conduct. By accessing or using the Platform, you agree to the following obligations:

  • Lawful Use: You must use the Platform in compliance with all applicable laws, regulations, and industry standards, including those specific to aviation, data protection, and online conduct. You shall not use the Platform for any unlawful, fraudulent, or unauthorized purpose.

  • Accuracy of Information: You are responsible for ensuring that all information, including personal details, professional credentials, certifications, and content you provide or post on the Platform, is accurate, current, and complete. Misrepresentation of identity, qualifications, or aviation credentials is strictly prohibited.

  • Professional Conduct: You agree to maintain professional decorum in all interactions, communications, and content shared on the Platform. Harassment, abuse, intimidation, or any form of discriminatory or offensive behavior is strictly forbidden.

  • Aviation Credentials: If you submit or display aviation-related credentials, licenses, or certifications, you warrant that such information is true, valid, and issued by the appropriate authority. You must not impersonate any individual or falsely claim professional qualifications.

  • Prohibition of Misuse: You shall not engage in activities that may compromise the security, integrity, or functionality of the Platform, including but not limited to unauthorized access, distribution of malware, or interference with other users’ access.

  • Compliance with Platform Policies: You must comply with all published policies, guidelines, and procedures of Aerhub, including those related to content moderation, privacy, and acceptable use.

Failure to comply with these obligations may result in suspension or termination of your account, removal of content, and other legal remedies as deemed appropriate by US.

Account Registration and Security

To access certain features of the Platform, you must create an Account by providing Us with accurate and complete registration information. You are solely responsible for maintaining the confidentiality and security of Your login credentials and for all activities conducted under your Account.

  • Account Creation: You agree to provide truthful, current, and complete information during registration and to promptly update such information as necessary.

  • Security Obligations: You must safeguard your Account credentials and notify Us immediately of any unauthorized access, suspected breach, or compromise of your Account. You acknowledge that We are  not liable for any loss or damage arising from your failure to protect your credentials.

  • Account Suspension or Termination: We reserve the right to suspend or terminate your Account, with or without notice, for any violation of these Terms, suspected fraudulent activity, or conduct detrimental to the Platform or its users.

  • Single Account Policy: Unless expressly permitted, you may not create or maintain more than one Account or transfer your Account to another person or entity.

You acknowledge that your Account is personal to you and may not be shared or used by others without express authorization from Aerhub, Inc..

Content Ownership and License Grant

You retain ownership of all Content you upload, post, or otherwise make available on the Platform. By submitting Content, you grant Us a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, reproduce, modify, publish, display, distribute, and create derivative works from your Content as necessary to operate, promote, and improve the Platform and its Services, including for backup, moderation, indexing, and display purposes.

  • User Control: You may manage, update, or delete your Content through your Account settings, subject to legal and operational requirements.

  • Limitation of Platform Liability: We do not endorse, guarantee, or assume responsibility for the accuracy, legality, or reliability of user-generated Content under any theory of liability whatsoever, including, without limitation, intellectual property infringement. You are solely responsible for your Content and any consequences arising from its publication or sharing.

  • Public Content: Content shared in public or community areas of the Platform may be viewable by other users and the public. Aerhub will not publicly associate your Content with your identity without your explicit consent, except as inherent to features you choose to use (e.g., public profile, marketplace listings, comments).

  • Content Removal: We reserve the right to remove or restrict access to any Content that violates these Terms, applicable law, or platform policies, with or without notice, in Our sole discretion.

This license and the associated rights survive termination of your Account to the extent necessary for Aerhub to fulfill its legal obligations, resolve disputes, and enforce agreements.

Prohibited Content and Activities

To protect the integrity of the Platform and ensure compliance with applicable laws and industry standards, the following content and activities are strictly prohibited:

1. False Credentials and Misrepresentation:

  • Submitting, displaying, or claiming aviation credentials, licenses, certifications, or professional qualifications that are false, forged, expired, or otherwise invalid.

  • Impersonating any individual, organization, or authority, including but not limited to aviation professionals, regulatory bodies, or Aerhub staff.

2. Harassment and Abusive Conduct:

  • Engaging in harassment, threats, intimidation, stalking, or any form of abusive, discriminatory, or offensive behavior toward other users or third parties.

  • Posting or transmitting content that incites violence, hatred, or discrimination based on race, gender, nationality, profession, or any other protected characteristic.

3. Sexually Explicit or Pornographic Content:

  • Posting, sharing, or transmitting pornographic, sexually explicit, or sexually suggestive material of any kind.

  • Engaging in or promoting adult services, escort activities, or sexual solicitation.

  • Any content or behavior that violates applicable obscenity, child protection, or decency laws is strictly prohibited.

4. Unauthorized Sharing of Sensitive Aviation Data:

  • Disclosing, posting, or distributing sensitive, confidential, or proprietary aviation data, including but not limited to flight plans, security protocols, or operational information, without proper authorization or legal basis.

  • Sharing personal data of others without their explicit consent or in violation of applicable privacy laws.

5.  Illegal, Fraudulent, or Unlawful Activities:

  • Using the Platform to engage in or promote any activity that is illegal, fraudulent, or in violation of applicable laws, regulations, or industry standards.

  • Facilitating or participating in the sale, distribution, or advertisement of illegal goods, services, or substances.

6.  Malicious or Disruptive Behavior:

  • Uploading or distributing malware, viruses, or any code intended to disrupt, damage, or interfere with the Platform or its users.

  • Attempting to gain unauthorized access to accounts, data, or systems connected to the Platform.

7.  Violation of Platform Policies:

  • Failing to comply with Aerhub’s published policies, guidelines, or procedures, including those related to content moderation, privacy, and acceptable use.

We reserve the right to investigate, remove, or restrict access to any content or activity that violates these prohibitions, and to cooperate with law enforcement or regulatory authorities as required.

Payment and Subscription Terms

Certain features and services offered through the Platform may require payment of fees or subscription charges. By purchasing or subscribing to paid features, you agree to the following terms:

  • Third-Party Payment Processors:
    Payments for subscriptions, marketplace transactions, or other paid features are processed by third-party providers (e.g., Stripe, Apple App Store, Google Play). Aerhub does not store full payment card numbers or sensitive payment information. Your use of third-party processors is subject to their respective terms and privacy policies.

  • Billing and Subscription:
    You agree to provide accurate and complete payment information and authorize Aerhub or its payment processors to charge applicable fees to your designated payment method. Subscription services may renew automatically unless canceled in accordance with the Platform’s procedures.

  • Refunds and Cancellations:
    Refunds for paid features or subscriptions are subject to the policies of the applicable payment processor and Aerhub’s published refund policy. Aerhub reserves the right to deny refunds for services already rendered or for violations of these Terms.

  • Disclaimers:
    Aerhub does not guarantee the availability, accuracy, or uninterrupted operation of paid features and reserves the right to modify, suspend, or discontinue any paid service at its sole discretion. You acknowledge that you are using the Platform at your own risk.

You are responsible for reviewing and understanding the terms and conditions of any third-party payment processor used in connection with the Platform. Continued use of paid features constitutes acceptance of these Payment and Subscription Terms.

Disclaimers and Limitation of Liability

The Platform and all Services, Content, and features provided by Aerhub, Inc. are offered strictly on an “AS IS” and “AS AVAILABLE” basis, without any warranties or representations of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by law, Aerhub, Inc., its Affiliates, officers, directors, employees, agents, licensors, and service providers expressly disclaim all warranties, including but not limited to:

  • Merchantability, Fitness, and Non-Infringement: No warranty that the Platform or Services are merchantable, fit for a particular purpose, or non-infringing.

  • Accuracy and Reliability: No warranty as to the accuracy, completeness, reliability, or timeliness of any Content, including user-generated content, aviation data, credentials, or information posted or transmitted via the Platform.

  • Performance and Security: No warranty that the Platform will be uninterrupted, error-free, secure, or free from viruses, malware, or other harmful components.

  • Results and Availability: No warranty that the Platform or Services will meet your requirements, achieve any intended results, or be available at any particular time or location.

You acknowledge that all Content, including aviation credentials and professional information, is provided by users and third parties, and Aerhub does not verify, endorse, or guarantee such Content. You assume all risk for your use of the Platform and reliance on any Content or information obtained through the Platform.

Limitation of Liability:
To the maximum extent permitted by applicable law, in no event shall Aerhub, Inc., its Affiliates, officers, directors, employees, agents, licensors, or service providers be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages whatsoever, including but not limited to loss of profits, loss of data, business interruption, personal injury, loss of privacy, or inability to use the Platform or Services, arising out of or in connection with your use of or inability to use the Platform, even if advised of the possibility of such damages.

Aerhub’s total aggregate liability for any and all claims arising under or related to these Terms, the Platform, or the Services, whether in contract, tort, or otherwise, shall not exceed the greater of (a) the total amount actually paid by you to Aerhub for the Services in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100), regardless of the nature or number of claims.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such cases, Aerhub’s liability shall be limited to the maximum extent permitted by law.

You expressly waive and release Aerhub, Inc. from all claims, liabilities, and damages arising from or related to user-generated content, third-party services, or your interactions with other users.

Indemnification

You agree to indemnify, defend, and hold harmless Aerhub, Inc., its Affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, demands, actions, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees and costs) arising out of or relating to:

  • Your breach or alleged breach of these Terms;

  • Your misuse of the Platform or Services;

  • Your violation of any applicable law, regulation, or third-party right;

  • Your submission, display, or misrepresentation of aviation credentials, licenses, certifications, or professional qualifications;

  • Any Content you upload, post, transmit, or otherwise make available through the Platform, including claims of infringement, defamation, or violation of privacy or publicity rights.

Aerhub reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with Aerhub in asserting any available defenses.

Termination and Suspension

Aerhub, Inc. reserves the right, at its sole discretion and without liability, to suspend, restrict, or terminate your Account and access to the Platform or any Services, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms or any Platform policy;

  • Suspected fraudulent, illegal, or unauthorized activity;

  • Conduct detrimental to the Platform, its users, or its reputation.

Upon termination or suspension, your right to access and use the Platform and Services will cease immediately. Aerhub may, but is not obligated to, remove or disable access to your Content and may retain certain information as required by law or for legitimate business purposes.

You acknowledge that Aerhub shall not be liable to you or any third party for any termination or suspension of your Account or access to the Platform. Provisions of these Terms that by their nature should survive termination (including but not limited to disclaimers, limitation of liability, indemnification, and content license grants) shall so survive.

Governing Law and Dispute Resolution

These Terms of Service and Privacy Policy shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law provisions. Any dispute, controversy, or claim arising out of or relating to these Terms, the Platform, or the Services shall first be attempted to be resolved informally by contacting Aerhub at support@aerhub.com within thirty (30) days of the event giving rise to the dispute.

If informal resolution is unsuccessful, you agree that any unresolved dispute shall be submitted to binding arbitration administered in Phoenix, Arizona, under the rules of the American Arbitration Association, unless otherwise required by applicable law. Judgment on the arbitration award may be entered in any court of competent jurisdiction. Notwithstanding the foregoing, Aerhub reserves the right to seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, or platform integrity.

You waive any right to participate in class actions or class-wide arbitration against Aerhub. Exclusive jurisdiction and venue for any permitted litigation shall be in the state and federal courts located in Phoenix, Arizona.

Changes to Terms

Aerhub, Inc. reserves the right to modify, update, or replace these Terms of Service and Privacy Policy at any time, at its sole discretion. Material changes will be communicated to users via email, in-app notification, or prominent posting on the Platform at least thirty (30) days prior to the effective date of such changes. It is your responsibility to review the Terms periodically. Continued use of the Platform after changes become effective constitutes your acceptance of the revised Terms.

Miscellaneous Provisions

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. No waiver of any right or provision shall be deemed a further or continuing waiver of such right or provision unless expressly stated in writing. You may not assign or transfer your rights or obligations under these Terms without Aerhub’s prior written consent; Aerhub may assign these Terms at its discretion. These Terms, together with any referenced policies, constitute the entire agreement between you and Aerhub regarding the Platform and supersede all prior agreements or understandings.

Aerhub, Inc. (“Aerhub,” “We,” “Us,” or “Our”) is committed to protecting the privacy and personal data of its users, with particular attention to the unique needs of aviation professionals and experts. This Privacy Policy describes how Aerhub collects, uses, stores, shares, and safeguards your personal information when you access or use the Platform, and outlines your rights and choices regarding your data. By using the Platform, you consent to the practices described herein.

I. Scope and Applicability

This Privacy Policy applies to all personal data collected through the Aerhub website, Aerway mobile application, Aerpod podcast, marketplace, and any related services, features, or promotional sites operated by Aerhub, Inc. It governs data provided by users, collected automatically, or obtained from third-party sources in connection with your use of the Platform.

II. Types of Data Collected

Aerhub may collect the following categories of data:

  • Personal Data: Identifiers such as name, email address, phone number, username, and profile information (including job title, company, certifications, and aviation credentials).

  • Professional and Aviation Data: Information relating to your professional qualifications, licenses, ratings, certifications, and other aviation-related credentials, as voluntarily provided or required for platform features.

  • Usage Data: Technical information automatically collected, including device identifiers, IP address, browser type, operating system, app version, pages visited, session duration, and interaction events.

  • Marketplace and Transaction Data: Details of marketplace listings, communications, and payment-related information (processed by third-party providers; Aerhub does not store full payment card numbers).

  • Preferences and Settings: Notification preferences, language choices, and other user-selected options.

  • Cookies and Tracking Technologies: Data collected via cookies, web beacons, pixels, and mobile SDKs to operate, secure, and improve the Platform.

Aerhub does not intentionally collect sensitive categories of data (e.g., government IDs, precise geolocation, health or biometric data) unless explicitly provided by you or required for specific features with your consent.

III. Purposes and Legal Bases for Data Use

Aerhub uses personal data for the following purposes:

  • To provide, operate, and maintain the Platform and its features, including professional networking, credential verification, and marketplace transactions.

  • To manage user accounts, authenticate access, and enable personalized experiences.

  • To communicate with users regarding updates, security alerts, administrative messages, and relevant news or offers (with opt-out options).

  • To analyze usage trends, improve the Platform, conduct research and development, and measure campaign effectiveness.

  • To moderate content, respond to support requests, and enforce platform policies.

  • To comply with legal obligations, resolve disputes, and enforce agreements.

  • For business transfers, such as mergers, acquisitions, or asset sales.

Aerhub processes personal data based on user consent, contractual necessity, legitimate interests, and compliance with applicable laws.

  • With Law Enforcement or Legal Process: As required by law, court order, subpoena, or government inquiry, or to protect Aerhub’s rights, property, or user safety.

Aerhub does not claim ownership of user-generated content but requires a license to use, store, and display such content as necessary for platform operation and improvement.

V. Data Security

Aerhub employs commercially reasonable administrative, technical, and physical safeguards to protect personal data against unauthorized access, disclosure, alteration, or destruction. These measures include encryption, access controls, and regular security assessments. However, no method of transmission or storage is completely secure, and Aerhub cannot guarantee absolute security.

Personal data may be processed at Aerhub’s operating offices and in other locations where service providers are located. This may involve transfers to jurisdictions with different data protection laws. If you provide aviation credentials, licenses, or certifications, Aerhub may use such data for professional verification, networking, and display within the Platform. You are responsible for ensuring the accuracy and validity of such information. Aerhub will not publicly associate your credentials with your identity without your explicit consent, except as inherent to features you choose to use (e.g., public profile, marketplace listings).

X. Compliance with Laws

Aerhub complies with applicable privacy laws, including U.S. federal and state laws, and, where relevant, international regulations such as the General Data Protection Regulation (GDPR). Users subject to specific legal regimes may have additional rights and protections.

XI. Changes to This Privacy Policy

Aerhub may update this Privacy Policy from time to time. Changes will be posted on the Platform, with the “Last updated” date revised accordingly, and additional notice provided where required (e.g., email or in-app notification). Continued use of the Platform after changes become effective constitutes acceptance of the revised Policy.

  • Restriction and Objection: Restrict or object to certain types of data processing, where permitted by law.

  • Opt-Out: Opt out of marketing communications at any time via unsubscribe links, in-app settings, or by contacting Aerhub directly.

  • Data Portability: Where applicable, request a copy of your data in a portable format.

How to Exercise Your Rights: - Many controls are available through your account settings, allowing you to manage, update, or delete your information directly. - You may also submit requests by contacting Aerhub at support@aerhub.com. Aerhub may take reasonable steps to verify your identity before fulfilling requests to protect your privacy and security.

Aerhub will respond to requests within the timeframes required by applicable law and will retain certain data where necessary for legal compliance, dispute resolution, or enforcement of agreements.

Data Sharing and Disclosure

Aerhub may share your personal data under the following circumstances, always with a focus on protecting user privacy and minimizing platform liability:

  • With Service Providers: For analytics, hosting, customer support, email delivery, payment processing, cloud storage, fraud prevention, and advertising/attribution.
